For purposes of these Terms of Use, all references to “CleanSlate,” “we,” “us,” or “our” shall collectively include CleanSlate Centers, Inc. and all affiliated or managed entities, including but not limited to: Total Wellness Centers, CleanSlate Medical Group of Indiana, CleanSlate Medical Group of Pennsylvania, CleanSlate Medical Group of Ohio, CleanSlate Medical Group of Arizona, CleanSlate Medical Group of Wisconsin, and any other entity owned, operated, or managed directly or indirectly by CleanSlate Centers, Inc.

These Terms apply equally to all visitors and users of websites or services provided or maintained by any of the above-named entities. Any reference to the “Site” or “Services” shall be deemed to include websites, portals, or digital platforms maintained by these affiliated or managed entities, to the extent those platforms are governed by or linked to these Terms.

1. Audience, Purpose, and Territorial Scope

The Site is intended exclusively for use by individuals located within the United States and over the age of 18. If you access the Site from a jurisdiction outside the United States, you do so at your own risk and remain responsible for compliance with local laws. The Site is not intended for use by minors or by any individual where such use would violate applicable law. Important: The Site is not intended for emergency use. Call 911 or seek immediate medical care if needed.

2. No Clinical Advice or Provider-Patient Relationship

The information provided on this Site is for general informational purposes only. It does not constitute medical advice and does not establish a provider-patient relationship. Do not rely on Site content for clinical decision-making or to diagnose or treat a condition. If you require medical attention, please consult a licensed healthcare professional.

3. Collection and Protection of Patient Information

By accessing the Site or submitting any health-related information through its forms, portals, or communications channels, you acknowledge and expressly agree that CleanSlate Centers, Inc. (“CleanSlate”) may collect, store, use, and disclose information that may constitute “protected health information” (“PHI”) or other personally identifiable information (“Patient Data”), including but not limited to names, contact information, treatment history, medical symptoms, and other data relevant to patient engagement.

CleanSlate is a “covered entity” as defined under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”), and complies with all applicable requirements set forth in 45 C.F.R. Parts 160 and 164. In addition, to the extent any data submitted through the Site pertains to the identity, diagnosis, or treatment of substance use disorder, CleanSlate complies with the confidentiality obligations imposed under 42 C.F.R. Part 2.

By submitting any Patient Data through the Site, you consent to the use and disclosure of such information in accordance with CleanSlate’s Notice of Privacy Practices, as well as the authorizations and exceptions permitted under HIPAA and, where applicable, 42 C.F.R. Part 2. You further acknowledge that CleanSlate implements industry-standard administrative, physical, and technical safeguards to protect the confidentiality, integrity, and availability of PHI as required by the HIPAA Security Rule, including those set forth at 45 C.F.R. §§ 164.308, 164.310, and 164.312.

Notwithstanding these safeguards, you understand and agree that communications submitted through non-encrypted, public-facing portions of the Site—such as general contact forms or unsecured chat features—may not be secure or HIPAA-compliant. You are therefore advised not to submit sensitive health, financial, or personal information through such channels unless expressly instructed to do so through a secure method authorized by CleanSlate.

Nothing in this section shall be construed to expand CleanSlate’s obligations beyond those required under applicable federal and state privacy laws, and all information is collected and maintained consistent with such laws.

4. Prohibited Uses and Restrictions

You are strictly prohibited from using the Site or any Services in any manner that violates applicable law or infringes upon the rights of CleanSlate or any third party. Without limitation, this includes engaging in conduct that violates intellectual property rights or personal privacy; deploying bots, crawlers, or other automated mechanisms to access or collect data from the Site; attempting to decompile, reverse engineer, or otherwise derive the source code or architecture of any underlying software or technology; misappropriating or replicating CleanSlate’s proprietary content for competitive purposes; introducing any malicious code, virus, worm, trojan horse, or other activity designed to disrupt, damage, or interfere with the integrity or functionality of the Site; or collecting, using, or disseminating any user or patient information in an unauthorized or unlawful manner.

CleanSlate expressly reserves the right to investigate any actual or suspected violation of this Section and to pursue any and all available legal or equitable remedies, including the referral of such matters to law enforcement or regulatory authorities where appropriate.

5. Security and Data Integrity

You are solely responsible for maintaining the security and integrity of your own systems and devices. While CleanSlate has implemented safeguards in compliance with the HIPAA Security Rule, the Health Information Technology for Economic and Clinical Health Act (HITECH), and applicable obligations under the Federal Trade Commission Act, Section 5, no method of internet transmission or electronic storage is entirely secure.

CleanSlate makes no representations or warranties that the Site is free from viruses, malware, or other harmful components. Unauthorized access, data exfiltration, or misuse of the Site may be reported to appropriate authorities, and CleanSlate expressly reserves all rights and remedies in response to such conduct.

6. Monitoring and Legal Disclosures

Pursuant to 45 C.F.R. §164.512(f) and other applicable federal or state laws, CleanSlate may monitor activity on the Site, cooperate with law enforcement, respond to subpoenas, and disclose user information to governmental or regulatory agencies when such disclosure is required by law, necessary to prevent fraud or abuse, or reasonably necessary to protect the rights, safety, or property of CleanSlate, its patients, or the public.

7. Disclaimer of Warranties

To the fullest extent permitted under applicable federal and state law, including HIPAA, 42 C.F.R. Part 2, and relevant consumer protection laws, CleanSlate disclaims all express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the Site will operate uninterrupted or error-free.

8. Limitation of Liability

In no event shall CleanSlate be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or any services or information provided therein. Your sole remedy for dissatisfaction with the Site is to discontinue use.

These limitations may not apply in jurisdictions that do not permit the exclusion or limitation of liability for certain types of damages, in which case liability shall be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless CleanSlate, its affiliates, directors, officers, employees, agents, and contractors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or in connection with your access to or use of the Site, your violation of these Terms, or your violation of any rights of another individual or entity.

10. Communications Preferences and Text Messaging

By providing your contact information, including your mobile phone number, you consent to receive communications from CleanSlate Centers, Inc., including text messages, emails, and telephone calls, related to your care, account status, or general informational updates.

You may opt out of receiving text messages or marketing communications at any time by following the instructions provided in those communications or by contacting us directly using the contact information below. Please note that even if you opt out of marketing messages, we may still send you non-promotional messages related to your ongoing care or account. If you choose to opt out of all text messages, send an email to the Privacy Officer at the email address or mailing address below. 

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All categories described in this Terms of Use and the accompanying Privacy Policy exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the United States and the State of Tennessee. Any legal proceedings shall occur in Williamson County, Tennessee.
